1. RIGHTS IN THE CONTENT YOU SUBMIT

By posting your Content using the Services, you are granting Explore Talent a non-exclusive, royalty-free, perpetual, and worldwide license to use your Content in connection with the operation of the Services, including, without limitation, the license rights to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Content, and/or to incorporate it into a collective work.

2. CONDUCT

a. Posting

Castings w/ nudity, adult content or any fees will not be accepted. As a general matter, you may post content freely, so long as the content is not illegal, obscene, defamatory, threatening, infringing of intellectual property rights, invasive of privacy or otherwise injurious or objectionable. All project posted must comply with Explore Talent Guidelines and definition of a Qualifying Project accordingly with our terms & services.

You may not use the Explore Talent name to endorse or promote any project, service, opinion, of any of your postings. Representation of your posting as endorsed by Explore Talent is strictly prohibited.

By posting a project, you warrant and represent that you either own or otherwise control all of the rights to that content, including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the content, or that your use of the content is a protected fair use. You agree that you will not knowingly and with intent to defraud provide material and misleading false nformation. You represent and warrant also that the content you supply does not violate these Terms, and that you will indemnify and hold Explore Talent harmless for any and all claims resulting from content you supply. You acknowledge that Explore Talent does not pre-screen or regularly review posted content, but that it shall have the right to remove in its sole discretion any content that it considers to violate these Terms or the terms of any other user agreements that may govern your use.

You, likewise, agree to represent yourself accurately. You acknowledge that misuse of the Services may lead us, in our sole discretion, to cancel your use of the Services and delete any of your Content. Additionally, Explore Talent has the right to deactivate your account.

b. Access

You agree that Explore Talent will not be liable, under any circumstances and in any way, for any errors or omissions, loss or damage of any kind incurred as a result of use of any content posted on this site. You agree that you must evaluate and bear all risks associated with the use of any content, including any reliance on the accuracy, completeness, or usefulness of such content.

c. Account Data

If requested, Explore Talent will provide your account registration data and information to any governing authority that requests them, regarding any violations of this agreement. Your account data may also be provided to a third party, upon receipt of your permission. Additionally, with your approval, your name may be used to endorse the site and that you are actively using the site and the Services.

3. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

This site is provided on an "as is" and "as available" basis. Explore Talent makes no representations or warranties of any kind, express or implied, as to the site’s operation or the information, content or materials included on this site. To the full extent permissible by applicable law, Explore Talent hereby disclaims all warranties, express or implied, including but not limited to implied warranties for any particular purpose. Explore Talent, it’s vendors, employees, or partners are in no way responsible for any costs that you may sustain while using Explore Talent services. This includes any incurred costs such as, lost time, wages, reputation, punitive or otherwise, while using Explore Talent. Explore Talent will not be liable for any damages of any kind arising from the use of or inability to use this site.

4. MODIFICATION OF THESE TERMS OF USE

Explore Talent reserves the right to change, at any time, at our sole discretion, the Terms under which these Services are offered. You are responsible for regularly reviewing these Terms. Your continued use of the Services constitutes your agreement to all such Terms.

5. COPYRIGHT/COPYRIGHT COMPLAINTS

The data contained on the site are the property of Explore Talent and protected by trademark/copyright and intellectual property laws.

Explore Talent respects the intellectual property of others, and requires that our users do the same. The Digital Millennium Copyright Act requires that all infringement claims must be in writing and must include the following information:

While we are under no obligation to police the site, we will try to remove or deal with any parties that are in violation.

By clicking below, you acknowledge that you have read and are bound by this agreement, as well as any other Explore Talent network usage agreements that may govern your conduct.

6. ARBITRATION PROVISION

Any dispute, claim or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Las Vegas, Nevada before one arbitrator,. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction.

The parties shall maintain the confidential nature of the arbitration proceeding and the Award, including the Hearing, except as may be necessary to prepare for or conduct the arbitration hearing on the merits, or except as may be necessary in connection with a court application for a preliminary remedy, a judicial challenge to an Award or its enforcement, or unless otherwise required by law or judicial decision.

This Agreement and the rights of the parties hereunder shall be governed by and construed in accordance with the laws of the State of Nevada.

The parties acknowledge that this Agreement evidences a transaction involving interstate commerce. Notwithstanding the provision in the preceding paragraph with respect to applicable substantive law, any arbitration conducted pursuant to the terms of this Agreement shall be governed by the Federal Arbitration Act (9 U.S.C., Secs. 1-16).

In any arbitration arising out of or related to this Agreement, the arbitrator is not empowered to award punitive or exemplary damages, except where permitted by statute, and the parties waive any right to recover any such damages.

NEITHER YOU NOR WE WILL HAVE THE RIGHT TO LITIGATE THAT CLAIM IN COURT OR HAVE A JURY TRIAL ON THAT CLAIM, OR TO ENGAGE IN PRE-ARBITRATION DISCOVERY EXCEPT AS PROVIDED FOR IN THE APPLICABLE ARBITRATION RULES. FURTHER, YOU WILL NOT HAVE THE RIGHT TO PARTICIPATE AS A REPRESENTATIVE OR MEMBER OF ANY CLASS OF CLAIMANTS PERTAINING TO ANY CLAIM SUBJECT TO ARBITRATION. EXCEPT AS SET FORTH BELOW, THE ARBITRATOR'S DECISION WILL BE FINAL AND BINDING. YOU UNDERSTAND THAT OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT MAY ALSO NOT BE AVAILABLE IN ARBITRATION. THE FEES CHARGED BY THE ARBITRATION ADMINISTRATOR MAY BE GREATER THAN THE FEES CHARGED BY A COURT.

There shall be no authority for any Claims to be arbitrated on a class action or private attorney general basis. Furthermore, arbitration can only decide your or our Claim(s) and may not consolidate or join the claims of other persons that may have similar claims. There shall be no pre-arbitration discovery except as provided for in the applicable Arbitration Rules. Each party shall bear the expense of that party's attorneys', experts', and witness fees, regardless of which party prevails in the arbitration, unless applicable law gives a party the right to recover any of those fees from the other party.

7. LIMITATION ON LIABILITY

ExploreTalent.com is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or redemption to be received by ExploreTalent.com on account of technical problems or traffic congestion online or on the Internet or at any web site, or any combination thereof including any injury or damage to entrant's or any other person's computer related to or resulting from downloading any materials consistent with this use of ExploreTalent.com. If, for any reason, the site is not capable of running online as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of ExploreTalent.com which threatens or corrupts or adversely affects the administration, security, fairness, integrity or proper conduct of this service, ExploreTalent.com, reserves the right, in its sole discretion, to cancel, terminate or suspend the offer and/or any service.
